PREEYA Promotional Committee (PPC) & PREEYA Working Committee (PWC)
In order to provide functional transparency and to offer an equitable stake to all stakeholders a working/promotional committee known to be PREEYA Working Committee (PWC) and PREEYA Promotional Committee (PPC) has been constituted. The committee comprises not more than 31 members selected from the Platinum, Diamond, Gold and Silver Stars of the Company by the Board of Directors. The Committee so constituted will elect its President with the consent of Board of Directors.

The Committees has the following rights:

• Right to audit / oversee the entire process of distribution of monthly income under Special Monthly Income Plan.
  
• Right to honour any member working meritoriously for the company.
  
• Right to relegate or deprive the member to receive commissions if the member found to be working against the interests of the Company.

Note : In the event of any arbitration or conflict the decision of the Board of Directors will be final and binding.

Classroom Programs

Membership : The individuals who register under any of the above mentioned category is given a membership under the unique concept called ‘Earn While You Learn’. The e-learning courses members are allotted with e-learning code and classroom learning student members are allotted with classroom code. This membership is offered to each individual who joins the scheme to create his/her business opportunity along with the growth of the Company. We strongly believe that our member students are true brand ambassadors for our offerings. During the process these members are allotted a unique code number in the organization which becomes the reference to identify the member’s growth in the Company. These members are encouraged to market the courses through Direct Marketing and Referral Marketing process. The members contribute towards the growth of the Company by bringing in student members by sincere, ethical and methodical advertisement about the various programs of the company and its marketing policies through personal contacts and referral. On successful joining of the referred individual the referee is eligible for Common Basic Commission (CBCs) under this scheme. The member is entitled for proportionate commission along with the growth of Company. A member is free to avail education at any time at any of the authorized NITS institute or through online learning process. The student member is free to nominate a needy person to avail educational benefits at NITS institute or through online learning.

Method of Registration
Off Line: An individual can deposit the requisite fee in favour of PREEYA Home Study Private Limited in any of the banks listed in this prospectus. The members are to Fax the deposit slip with duly filled form to our Head Office on Fax number 0141-3026703 along with the details of serial number of the application form or the name and date of birth of the individual. Payment can be made through bank draft also. In such a case, the details of the individual members are to be indicated on the reverse of the bank draft. The bank draft along with duly filled application form is to be forwarded to ‘The Manager Registration,’ Preeya Home Study Private Limited at our Head office, Jaipur. The members are to confirm their registration code number from the Head Office within 24 hours of receipt of Fax or mail. At Jaipur Head Office one can deposit cash and obtain the code number instantaneously.

On-Line : One can also register online through our website www.preeyanits.com. After having deposited the fee as explained above, application can be submitted online and a temporary ID number can be obtained. The members are to Fax the deposit slip indicating Temp.ID number or scan the slip and e-mail to the Company on preeyaoffices@gmail.com / registration@preeyanits.com. Thereafter the permanent code number could be obtained through our website by using temporary number within 24 hours.

Note : After registration of the individual the permanent code number has to be used for all future correspondence with the Company. Henceforth the code number could be used as User Name to view one's personal information and for on-line learning on our web site. Till the member creates or changes his/her password, the company registers this code number as his/her password.

Note: The words used in the prospectus such as basic commissions, benefits, monthly income, promotional income, royalty, bonus etc are used in lieu of the word ‘commission’ paid to the members. All the commissions are liable for TDS and any other taxes as applicable from time to time.

Members' Life Security
In order to offer a financial support to member families in the event of unfortunate demise of member, a small amount from the commissions is contributed towards this pool as security amount as per the prescribed rule. Any such amount shall be deducted from the net commissions of each member. This benefit is not available to Category H members (i.e. course fee of Rs.3800/-). The present rule(s) and procedure(s) of financial help are as follows:-

Accidental Death: A sum of Rs. 1,00,000/- to Category B,C,D,E,F&G and Rs. 50,000/- to Category A members would be offered to the nominee of the deceased member in the event of accidental death (not covering diseases/ suicide/ heart attack/delivery). This help is offered only to those members who has completed at least 7 days from date of registration and up to 10 years from date of registration. Members are eligible for this benefit between 4 years of age up to 60 years of age. This amount shall be processed on 31st March, 30th June, 30th Sept and 31st Dec every year and shall be paid in maximum yearly installments of Rs. 20,000/-.

Note: In case of re-registration by the members or if a member has registered at more than one code/course, the member shall be considered as single member for Accidental Death payment. However for deduction towards security amount registered codes shall be considered as different entries. The rules and procedure(s) of payment may be amended from time to time. Any amendment to the above benefits or related rule(s) shall be in the presence of PREEYA Promotional Committee (PPC). It shall be mandatory that at least 2/3 of present members of PPC shall vote in favour of such amendment. The decision of PPC shall be final and binding upon all the members and their nominee.

The executive and above achievers are eligible for additional member’s life security up to 65 years of age as shown in the table given below.

Financial Benefits at a Glance

Note: All types of financial benefits are released after deduction of TDS, member's security amount and other taxes as applicable from time to time.

Common Basic Commissions (CBCs) : The moment a student member (except Category H) joins PREEYA Pariwar, he/she becomes eligible to receive Common Basic Commission (CBC). These commissions are credited to his account as and when he/she becomes eligible to receive them. This group will grow in multiples of two, as new student members join. The formation of the group will take place in the order of 1,2,4,8,16,32,64,128,256,……………. and so on. On 6th stage i.e when 64 members have joined, the first member (if Category B) will receive Rs. 41,400/- and student members of other categories will receive Rs. 26400. When 128 members have joined the group, the next two members will receive the commissions and so on. However, to receive CBCs at 6th stage a member has to refer at least one Category B member or equal fee, else his/her eligibility to receive the CBCs will slip to 7th stage and he/she has to refer at least category “H” student member.

The period of receiving the commission will depend upon the seniority of joining in the group and the overall student member’s growth in the company. The company has been maintaining an average monthly growth of 10%. In coming years it is expected that the growth rate is likely to increase beyond 10%, reason being the increasing demand for technical and job oriented education in the years to come. PREEYA Pariwar has set a target to establish 4000 franchisee institutes by 2014 under “NITS MISSION 4000”. At this rate of growth even the last member of this pool will receive the CBC within a reasonable period of six years. The 10% monthly growth for the pool is calculated on the total number of members in the Company from the date of commencement of the pool. This time period has been worked out at compound monthly growth rate of 10%. If the growth deceases, the time of receiving CBCs increases and vice versa.

Special CBCs (SCBCs): In order to offer an accelerated earning opportunity in a shorter period of time to potential student member’s, the Company has implemented a higher income disbursal plan under Special CBC. This offer is extended to those members who can generate higher volumes of business growth within a specific time period. The SCBCs are disbursed in lieu of CBCs. All members can earn these commissions by taking various educational programs of Preeya Pariwar to door step of the deserving. The commissions paid under PREEYA Growth Income (PGI) and Special Monthly Income Plan (SMIP) is known as Special Common Basic Commissions (SCBCs). The SMIP and PGI received in first 18 months are known as SCBCs. The Category A members will receive 50% of PGI and Category “H” members are not eligible for these commissions. The SCBCs are based on growth of student members in the Company and is paid to the eligible members. The PREEYA Pariwar disburses 12% of marketing turnover as SMIP and 12% of marketing turnover as PGI (total 24% as SCBCs) to all eligible members. The SCBCs are based on monthly marketing turnover of the company and is calculated @ Rs.5800/- per registration for any type of program. The eligibility criteria for receiving the amount and the period of receiving SCBCs are based on the marketing turnover of fee received in the member's code and/or in the group under member’s code. The same has been explained below.

Note : The targets to achieve various levels of achievements/promotions and process of earning commissions are explained as per Category “B” registrations. A member can achieve ‘equal fee target’ by registering other categories of student members as well. All commissions are based on percentage mentioned in this prospectus and are calculated on Rs.5800/- for all category of members except Category ”H”.

Eligibility for Special Monthly Income Plan(SMIP) and PREEYA Growth Income (PGI)

The moment a member refers two Category B members under his/her membership code (or fee of Rs. 27600/-), it makes him/her eligible to earn 6% as SMIP and 6% as PGI for duration of 6 months. This makes him eligible to earn a total of 12% of SCBCs for 6 months. The members referred directly under the membership code are known as level one (L-1) members.

If the members at level one (L-1) refers at least three Category B members each or Rs. 41,400/- fee under L-1 members, both SMIP & PGI is enhanced by another 3% each. The member is now eligible for 18% of SCBC. Additionally, total period of receiving PGI (which was till now for 6 months) gets extended by another 4 months (totaling to 10 months). The SMIP receiving period shall not be extended with level. The student members referred under L-1 members are known as level two (L-2) student members.

If the members at level two (L-2) refers four Category B members or does a business of Rs. 55,200/- (or equivalent fee) under L-2 members, both SMIP & PGI gets increased by another 2% each. The member is now eligible for total SCBCs of 22% (11% SMIP and 11% PGI). Additionally, total period of receiving PGI (which was till now for 10 months) gets extended by another 4 months (totaling to 14 months).

How to increase the receiving period of SMIP : The members of all categories (except category “H”) can continue to receive SMIP for life time by referring members in direct membership code. The SMIP receiving period will increase by another 3 month for joining of Category A student member and by 6 months for referring other Category of student members (except Category H). Suppose a member refers 10 Category B members in direct membership code, in such a case with first 2 members joining, the SMIP receiving period will be for 6 months and by the next 8 members it will be for 48 months. It means that the member will receive SMIP for 54 months without any further contribution.
 
The commissions are calculated in percentage at each level. The disbursement amount is calculated based on the marketing turnover from all over India and number of eligible members. All the three levels of income from SMIP and PGI is summed up and paid to the member by 10th day of a month along with other commissions, if any.

Example :  Suppose in a month, in SMIP, total eligible members at L-1 is 10000, at L-2 is 4500 and at L-3 is 2300.  Similarly, in PGI total eligible members at L-1 is 7000, at L-2 is 3000 and at L-3 is 1300. If the student membership in the month is 20000, in such a case, the income shall be calculated as follows:

So the total amount of Rs. 2,55,20,000/- is available in a month to be paid to the members as Special Common Basic Commissions (SCBCs)

The income calculation for each member as per level will be as follows:

The member at level 1 will receive Rs. 1690/-, at level 2 will receive Rs. 3623/- and at level 3 will receive Rs. 6417/- in a month.

Note: The SCBCs are variable as per the number of eligible student members and total student members joining in a month.

Acceleration in CBCs: The time a member refers two Category B student members or equal fee in his/her code, he/she is allotted with a new code number. Such achievers are arranged in a sequence as per the new code number. If the received SCBC amount is less than Rs. 41400/-(Only for Category B) and Rs. 26400/- (for other Categories of student members) within 18 months from the date of referring 2 Category B members (or equal amount), then the Company will disburse 2% of monthly marketing turnover as difference of amount (“Rs.41400” minus “amount received” for Category B or “Rs. 26400” minus “amount received” for other Categories). This amount shall be calculated monthly and paid quarterly.

Advanced CBCs/SCBCs under Special Scheme: Once a member refers 3 in number Category C or 2 in number Category D members, he/she becomes eligible to receive Rs. 15000/- as advance CBCs/SCBCs. This amount shall be paid with current month’s commissions.

* Category B, C, D, E, F & G shall be known as special category members.

Target Achievements and Associated Commissions (Working Commissions)
| If a member is willing to create a faster business growth by enrolling more student members, then he/she becomes eligible to receive additional monthly commissions as explained below. One can achieve the promotion to PREEYA Star position in the organization and continue to receive monthly commissions up to seven digits.

Executive: The time a member achieves 11% of SMIP with total 4 Category B members in level 1 (means qualifies to receive 11% SMIP for a total period of 18 months), he/she shall be promoted to Executive. The time a member achieves the Executive position, the SMIP and PGI will be incremented by 1%. Additionally, total period of receiving PGI (which was till now for 14 months) gets extended by another 4 months (totaling to 18 months).

Commissions to the Executive: On achievement of promotion to Executive, a minimum of 11 Category B members are ready to contribute in the member’s Executive group. If there are less than 5 Category B members (or other Category (ies) members of equal fee) registered in the Executive group in a month, the member shall be eligible to receive Rs. 410/- on each special category registration in the group. In case there are 5 or more Category B members (or other Category (ies) members of equal fee) registered in the Executive group in a month, the member shall receive Rs. 820/- for each Special Category registration.

Senior Executive: On achieving 30 Category B registrations (or equal fee) under Executive code, the members shall be promoted to Senior Executive position. The PGI will be increased to 13% (i.e. 1% more).

Commissions to the Senior Executive: On achievement of Senior Executive position around 41 members are ready to contribute in Senior Executive group. If there are less than 11 Category B members (or other category (ies) members of equal fee) registered in the Senior Executive group in a month, the member shall receive Rs. 280/- for each Special Category registration in the group. If the number of registrations in the group is 11 or more of Category B registrations (or other category (ies) members of equal fee) in a month, the member shall receive Rs. 560/- for each special category registration in addition to commissions earned as Executive.

Super Senior Executive: On registration of 90 Category B members (or equal fee) under Senior Executive code, a member gets promoted to Super Senior Executive position.

Commissions to the Super Senior Executive: On achievement of Senior Executive position around 131 members are ready to contribute in Super Senior Executive group. If less than 21 Category B members (or equal fee) register in the Super Senior Executive group in a month, the member shall receive Rs. 250/- for each Special Category registration in the group. If 21 or more Category B members (or equal fee) register in the group in a month, the member shall receive Rs. 500/- for each Special Category registration in addition to Senior Executive and Executive commissions.

Silver Star: On receipt of 301 Category B student members fee (or equal fee) in the Super Senior Executive code, the member shall be elevated to Silver Star.

Commissions to the Silver Star: If less than 40 Category B members (or equal fee) registers in Silver Star group in a month, the member shall receive Rs. 175/- for each Special Category registration in the group. If 40 or more Category B members (or equal fee) registers in the group in a month, the member shall receive Rs. 350/- for each Special Category registration in addition to all above commissions.

Gold Star: On receipt of 901 Category B student members fee (or equal fee) in the Silver Star group, the member shall be elevated to Gold Star.

Commissions of Gold Star: If less than 100 Category B members (or equal fee) registrations in Gold Star group in a month, the member shall receive Rs. 150/- for each Special Category registration in the group. If 100 or more Category B members (or equal fee) registers in the group in a month, the member shall receive Rs. 300/- for each special category registration in addition to all above commissions.

Diamond Star: On receipt of 3150 Category B student members fee (or equal fee) in the Gold Star group, the member shall be elevated to Diamond Star.

Commissions of Diamond Star: If less than 350 Category B members (or equal fee) register in Diamond Star group in a month, the member shall receive Rs. 125/- for each Special Category registration in the group. If 350 or more Category B members (or equal fee) register in the group in a month, the member shall receive Rs. 250/- for each Special category registration in addition to all above commissions.

Platinum Star: On receipt of 12500 Category B student members fee (or equal fee) in the Diamond Star group, the member shall be elevated to Platinum Star.

Commissions of Platinum Star: If less than 2500 Category B members (or equal fee) registers in Platinum Star group in a month, the member shall receive Rs. 90/- for each Special Category registration in the group. If 2500 or more Category B members (or equal fee) register in the group in a month, the member shall receive Rs. 180/- for each Special Category registration in addition to all above commissions.

Super Platinum Star: On receipt of 55000 Category B student members fee (or equal fee) in the Platinum Star group, the member shall be elevated to Super Platinum Star.

Commissions of Super Platinum Star: If less than 7500 Category B members (or equal fee) registers in Platinum Star group in a month, the member shall receive Rs. 70/- for each Special Category registration in the group. If 7500 or more Category B members (or equal fee) register in the group in a month, the member shall receive Rs. 140/- for each Special Category registration in addition to all above commissions.

PREEYA Star: This is most prestigious achievement in PREEYA Pariwar. On receipt of 2,85,000/- Category B student members fee (or equal fee) in the Platinum Star code, the member shall be known as PREEYA Star.

Commissions of PREEYA Star: If less than 21000 Category B members (or equal fee) registers in PREEYA Star group in a month, the member shall receive Rs. 50/- for each Special Category registration in the group. If 21000 or more Category B members (or equal fee) registers in the group in a month, the member shall receive Rs. 100/- for each Special Category registration in addition to all above commissions.

Special Commission to PREEYA Star: PREEYA Star will also receive monthly Rs.29/- for each joining in the company (except category H). This will be monthly revised by PREEYA Promotional Committee (PPC).

Note: The Category A student members will receive half of the commissions, as compared to the Special Category registrations.

Responsibilities & Duties of Silver, Gold, Diamond, Platinum, Super Platinum Star

• Silver Star shall conduct a minimum of 2 seminars/meetings in a month of his/her group.
• Gold Star shall conduct a minimum of 4 seminars/meetings in a month of his/her group.
• Diamond /Platinum / Super Platinum Stars shall conduct a minimum of 6 seminars/meetings in a month of his/her group.
• He/ she shall prepare a chart of meeting for 3 months in advance with place & date of meetings & forward it to concerned senior for approval.
• He/she shall be responsible to inform & motivate his/her group members to attend meeting with willing members.
• The Silver Star shall make sure that a minimum of 50 willing members attend a meeting.
• The Gold Star shall ensure that a minimum of 75 willing members attend a meeting.
• The Diamond /Platinum / Super Platinum stars shall make sure that a minimum of 500 willing members attend a meeting.
• Any change or postponement in schedule of meetings has to be intimated to the concerned senior in Head Office with reasons for such changes. A revised schedule of meeting should also be submitted to Head Office.
• Monthly reports of meetings held are to be submitted to Head Office on the prescribed format positively by the 10th of succeeding month.
• Under un-avoidable circumstances he/she may substitute another person with the prior consent of the Board of Directors.
• A monthly meeting schedule to be obtained from Head Office well in advance.

Future Planning
Preeya Pariwar has always taken upon them the challenges befitting towards the progressive growth of the society. Towards the same initiative, Preeya Pariwar has set some targets matching to the aspirations of the Company. We intend to participate in the following ventures in near future:-

• Establish an autonomous University.  
• Establish 4000 Training Institutes all over India to offer technical education within a time span of four years.
• Come out with an IPO for PREEYA as a Public Limited Company.
• Establish District Controller Offices at District level.
• Establish one Zonal office at each State.
• Start graduate and post graduate level courses in technical and management education.
• Publish own PREEYA news-paper.
• Establish Computer Education Institutes in every town of India by 2017.

Important Notice
In case any member himself or parents or spouse or their children are found to be indulged in any activity against the Company, misleading any member associated with the Company, indiscipline shown in the public life or his conduct is found objectionable or suspicious, the PREEYA Working Committee (PWC) or PREEYA Promotional Committee (PPC) or Board of Directors reserves the right to stop or suspend temporarily all commissions due to the individual. No argument will be entertained against the decision of PREEYA Promotional Committee (PPC). Even if the dispute remains thereafter, the same will be decided by the independent Arbitrator under the Law of Arbitration.
